TERMS AND CONDITIONS AGREEMENT

This Terms and Conditions Agreement (“Agreement”) is entered into by and between Safe Sitters Europe LLC, a Wyoming limited liability company (“SSE,” “Company,” “we,” or “us”), and any individual or entity accessing or using the Platform (“User,” “you,” “Family,” or “Sitter”).

By accessing or using the Platform, you agree to be bound by this Agreement.

I. NATURE OF SERVICES

1. Platform Role

SSE operates an online referral and booking platform designed to connect families seeking short-term childcare services with independent childcare providers (“Sitters”).

SSE provides referral, administrative, and payment facilitation services only.

SSE does not:

• Provide childcare services
• Employ sitters
• Act as a staffing agency
• Supervise sitter services
• Guarantee placement outcomes
• Enter into childcare contracts on behalf of users

Any childcare services are provided solely by Sitters under a direct agreement between the Family and the Sitter.

II. INDEPENDENT SERVICE PROVIDERS

Sitters are independent service providers.

Nothing in this Agreement shall be construed to create:

• Employment
• Partnership
• Joint venture
• Agency
• Franchise
• Representative authority

Sitters:

• Determine their own rates
• Control their availability
• Accept or decline bookings
• Provide services independently
• Maintain sole discretion over how services are performed

SSE does not supervise or control service performance.

Sitters are solely responsible for compliance with:

• Local tax laws
• Social security contributions
• Licensing requirements
• Legal obligations in their jurisdiction

III. PLATFORM FEES

1. Booking Fee

SSE charges Families a €10 non-refundable platform fee per booking request.

This fee covers:

• Referral access
• Administrative coordination
• Platform usage

The €10 fee is earned upon submission of a booking request and is non-refundable.

2. Circumvention

Users agree not to circumvent the Platform to avoid payment of the €10 fee.

If a Family hires or books a Sitter introduced through the Platform outside the Platform within twelve (12) months of introduction, SSE reserves the right to charge the €10 fee and/or suspend the account.

IV. PAYMENTS

1. Stripe Connect

Payments for sitter services are processed via Stripe Connect.

SSE acts solely as a limited payment collection agent on behalf of Sitters.

Payment processing services are provided by Stripe and are subject to Stripe’s terms and conditions.

SSE is not responsible for:

• Processing delays
• Bank errors
• Currency fluctuations
• Chargebacks initiated in bad faith
• Technical outages

Payment to SSE constitutes payment to the Sitter.

2. Chargebacks

Improper or fraudulent chargebacks constitute a material breach of this Agreement.

SSE reserves the right to:

• Suspend accounts
• Recover chargeback fees
• Pursue recovery costs including attorney fees

V. CANCELLATIONS AND NO-SHOWS

  1. The €10 platform fee remains non-refundable.

  2. Unless otherwise agreed in writing:

• Cancellations within 24 hours may require payment of a minimum of two (2) hours at the Sitter’s rate.
• Family no-shows may require full minimum booking payment.
• Sitters may cancel due to emergency circumstances but must notify promptly.

  1. SSE does not guarantee replacement sitters.

VI. BACKGROUND CHECKS AND SCREENING

Sitters may provide documentation including:

• Background checks
• Certifications
• References

SSE may review documentation for completeness but does not guarantee:

• Accuracy
• Authenticity
• Ongoing validity
• Comprehensive criminal screening

Families are solely responsible for independent vetting.

SSE shall not be liable for errors or omissions in background documentation.

VII. USER RESPONSIBILITIES

Families agree to:

• Provide a safe working environment
• Accurately describe job expectations
• Pay agreed compensation
• Comply with applicable laws

Sitters agree to:

• Accurately represent qualifications
• Conduct themselves professionally
• Comply with local laws

VIII. LIMITED ROLE AND NO GUARANTEE

SSE does not guarantee:

• Sitter performance
• Compatibility
• Safety outcomes
• Availability
• Platform uptime

Services are provided “AS IS.”

IX. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

SSE’s total liability shall not exceed the total platform fees paid to SSE by the User in the preceding three (3) months.

SSE shall not be liable for:

• Personal injury
• Property damage
• Theft
• Emotional distress
• Indirect damages
• Consequential damages
• Loss of income

X. RELEASE AND INDEMNIFICATION

User releases SSE from any claims arising out of:

• Sitter services
• User interactions
• Booking arrangements
• Disputes between users

User agrees to indemnify and defend SSE from any claims, including attorney fees, arising from:

• User conduct
• Breach of this Agreement
• Negligence
• Willful misconduct

XI. ACCOUNT SUSPENSION

SSE may suspend or terminate accounts for:

• Fraud
• Abuse
• Chargebacks
• Harassment
• Circumvention
• Violation of Terms

XII. CONFIDENTIALITY AND NON-DISPARAGEMENT

Users agree not to make false, misleading, or defamatory statements regarding SSE or other users.

XIII. GOVERNING LAW

This Agreement is governed by the laws of the State of Wyoming, United States.

Nothing herein limits mandatory consumer protections under applicable EU law.

XIV. DISPUTE RESOLUTION

Parties agree to attempt informal resolution prior to litigation.

Venue shall be determined in accordance with applicable law.

XV. SEVERABILITY

If any provision is unenforceable, the remainder remains in effect.
